Terms of Service

Please read these Terms carefully before using Kognita. They govern your use of the Service and form a binding legal agreement between you and Kognita.

Acceptance of terms

By accessing or using Kognita (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree, do not use the Service.

Accounts and access

Account registration

You must create an account to use Kognita. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect unauthorised access.

Account eligibility

You must be at least 16 years old and capable of forming a binding contract to use the Service. The Service is not available in jurisdictions where it would be prohibited by law.

Organisations

You may invite other users to your organisation. You are responsible for ensuring that all users within your organisation comply with these Terms. The organisation owner is liable for all activity performed by organisation members.

Acceptable use

Permitted use

You may use Kognita to ingest, store, and retrieve content for lawful purposes, including building AI-powered applications, internal tools, and developer products.

Prohibited use

You may not use the Service to: (a) upload content that is illegal, harmful, or violates the rights of others; (b) attempt to reverse-engineer, disassemble, or circumvent security measures; (c) use the API in a way that causes unreasonable load beyond your plan limits; (d) resell or sublicense the Service without written permission; (e) use the Service to process content that constitutes hate speech, CSAM, or incitement to violence.

API usage and rate limits

Your use of the Kognita API is subject to rate limits and quotas defined by your plan. Exceeding your plan's included usage will result in overage charges as described on our pricing page. We reserve the right to throttle or suspend access to accounts that consistently cause performance degradation for other customers.

Payment and billing

Subscription fees

Paid plans are billed monthly in advance. All fees are non-refundable except where required by law. We may change pricing with 30 days' notice — you may cancel before the new price takes effect.

Overages

Usage beyond your plan's included limits is billed at the overage rates shown on our pricing page. Overage charges are calculated at the end of each billing period and added to your next invoice.

Failed payments

If a payment fails, we will retry up to three times over seven days. If payment remains outstanding, we may suspend access to your account until the balance is resolved.

Data ownership and licence

You retain full ownership of any content you upload to Kognita. By uploading content, you grant Kognita a limited, non-exclusive, royalty-free licence to store, process, and serve that content solely to provide the Service to you. We do not claim ownership of your data, and we do not use your data to train models.

Confidentiality

Both parties agree to keep the other's confidential information — including API keys, pricing terms, and non-public technical details — confidential and not to disclose it to third parties without consent. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Service availability

We aim to provide the Service with high availability but do not guarantee 100% uptime. Planned maintenance will be announced in advance where possible. Enterprise customers may negotiate formal SLA commitments separately. Downtime does not entitle you to a refund unless explicitly agreed in an Enterprise contract.

Termination

You may cancel your account at any time from your dashboard settings. We may suspend or terminate your account if you breach these Terms, fail to pay fees, or engage in conduct harmful to the Service or other customers. Upon termination, your access to the Service will cease and your data will be deleted in accordance with our Privacy Policy.

Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or meet your specific requirements.

Limitation of liability

To the maximum extent permitted by law, Kognita's total liability for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, even if advised of their possibility.

Governing law

These Terms are governed by the laws of the jurisdiction in which Kognita is incorporated, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction, and you consent to exclusive jurisdiction there.

Changes to these terms

We may update these Terms from time to time. We will notify you via email or a notice in the dashboard at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
